Terms of Service

1. Agreement to Terms

By accessing and using Lunarhalo's AI consulting services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using our services.

2. Description of Services

Lunarhalo provides AI technology consulting services including but not limited to:

• AI-driven event planning and management solutions
• AI-powered operations optimization consulting
• Strategic AI implementation and planning
• Custom AI solution development and integration
• AI training and knowledge transfer services

3. Engagement Terms

3.1 Consultation Process

All consulting engagements begin with an initial consultation to assess project requirements, scope, and feasibility. We reserve the right to decline projects that are not suitable for our expertise or business model.

3.2 Project Scope

Project scope, deliverables, timelines, and pricing will be defined in a separate Statement of Work (SOW) or consulting agreement. Any changes to the agreed scope may result in additional charges.

3.3 Client Responsibilities

Clients are responsible for providing accurate information, timely feedback, necessary access to systems and data, and cooperation required for successful project completion.

4. Payment Terms

4.1 Pricing

Our pricing is based on hourly rates, project-based fees, or monthly retainers as outlined in our pricing page and confirmed in individual agreements.

4.2 Payment Schedule

For projects over $50,000, a 30% deposit is required to commence work. Remaining payments are tied to project milestones as defined in the SOW. Hourly consulting is billed monthly.

4.3 Late Payments

Late payments may incur a 1.5% monthly service charge. Services may be suspended for accounts more than 30 days overdue.

5. Intellectual Property

5.1 Client Data and IP

All client data, proprietary information, and pre-existing intellectual property remain the property of the client. We will not use or disclose such information except as necessary to provide our services.

5.2 Developed Solutions

Custom AI solutions, code, and implementations developed specifically for a client become the property of the client upon full payment. General methodologies, frameworks, and knowledge gained remain with Lunarhalo.

5.3 Third-Party Tools

Some solutions may incorporate third-party tools, libraries, or platforms subject to their own licensing terms.

6. Confidentiality

We maintain strict confidentiality regarding all client information, business processes, data, and proprietary information. This obligation continues beyond the termination of our consulting relationship.

7. Limitation of Liability

Lunarhalo's liability for any claims arising from our consulting services is limited to the amount paid for the specific services giving rise to the claim. We are not liable for indirect, consequential, or punitive damages.

8. Warranties and Disclaimers

We provide consulting services using industry best practices and professional expertise. However, we make no warranties regarding specific business outcomes, ROI, or performance improvements. AI implementations involve inherent uncertainties and risks.

9. Termination

Either party may terminate consulting engagements with 30 days written notice. Client remains responsible for payment of all services rendered prior to termination. Certain ongoing obligations including confidentiality survive termination.

10. Force Majeure

Neither party shall be liable for delays or failures in performance resulting from circumstances beyond their reasonable control, including but not limited to natural disasters, government actions, or technology failures.

11. Governing Law

These terms are governed by the laws of the State of Texas, United States. Any disputes will be resolved through binding arbitration in Texas.

12. Modifications

We reserve the right to modify these terms at any time. Continued use of our services after modifications constitutes acceptance of the updated terms.
